1. Introduction

Welcome to PRASTAO. These Terms of Service ("Terms") govern your use of our website and mobile application (collectively, the "Service") operated by PRASTAO ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1.1 Eligibility

You must be:

  • At least 18 years of age
  • Using the Service for legitimate business purposes
  • Able to form a legally binding contract

2. Account Terms

2.1 Account Registration

To use PRASTAO, you must create an account. You agree to provide accurate, complete, and current information during registration and to update such information as necessary.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

2.3 One Account Per Person

Each account is for a single user. You may not share your account credentials with others. If you need multiple users, contact us about our Business plan.

2.4 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for extended periods.

3. Acceptable Use

3.1 Permitted Uses

You may use PRASTAO to:

  • Create and send quotes and proposals to your clients
  • Collect electronic signatures on documents you create
  • Process payments for your services through Stripe
  • Manage client information related to your business

3.2 Prohibited Uses

You may NOT use PRASTAO to:

  • Engage in any illegal activity or promote illegal services
  • Send spam, unsolicited messages, or harass others
  • Impersonate others or provide false information
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer or attempt to extract source code
  • Use automated tools to scrape or access the Service
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others

3.3 Content Guidelines

All content you create or upload must:

  • Be accurate and not misleading
  • Not contain malware or malicious code
  • Not infringe on third-party rights
  • Comply with all applicable laws

4. Your Content

4.1 Ownership

You retain all ownership rights to the content you create using PRASTAO, including quotes, client information, and business data. We do not claim ownership of your content.

4.2 License to Us

By using the Service, you grant us a limited license to store, process, and transmit your content as necessary to provide the Service. This license ends when you delete your content or close your account.

4.3 Client Data Responsibility

You are solely responsible for the client data you enter into PRASTAO. You must have the necessary rights and permissions to store and process your clients' personal information.

4.4 Backup Recommendation

While we maintain backups, we recommend you periodically export your important data. We are not responsible for data loss beyond our reasonable control.

5. Payments and Billing

5.1 Subscription Plans

PRASTAO offers various subscription plans with different features and pricing. The current plans are:

  • Starter (Free): Limited quotes per month, basic features
  • Pro ($29/month): Unlimited quotes, full features
  • Business ($79/month): Team features, priority support

5.2 Billing Cycle

Paid plans are billed monthly in advance. Your subscription automatically renews unless cancelled before the renewal date.

5.3 Price Changes

We may change our prices with 30 days' notice. Price changes take effect at the start of your next billing cycle. Your continued use after a price change constitutes acceptance of the new price.

5.4 Refund Policy

We offer a 14-day money-back guarantee for new subscribers. After 14 days, we do not offer refunds for partial months. If you cancel, you retain access until the end of your billing period.

5.5 Failed Payments

If a payment fails, we will notify you and attempt to retry the charge. After multiple failures, your account may be downgraded to the free plan or suspended.

6. Payment Processing

6.1 Stripe Integration

PRASTAO uses Stripe to process payments from your clients. By using our payment features, you agree to Stripe's Terms of Service.

6.2 Your Stripe Account

To collect payments, you must connect your own Stripe account. You are responsible for your Stripe account, including compliance with Stripe's requirements and any disputes or chargebacks.

6.3 Platform Fees

PRASTAO does not charge additional fees on payments you collect. You pay only Stripe's standard processing fees.

6.4 Disputes and Chargebacks

Payment disputes are handled between you and your client through Stripe. We will provide transaction records if needed, but we are not a party to disputes between you and your clients.

7. Service Level

7.1 Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our control (internet outages, third-party services)

7.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for significant changes.

7.3 Third-Party Services

The Service relies on third-party providers (Stripe, SMS carriers, email providers). We are not responsible for their outages or service interruptions.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRASTAO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Service interruption
  • Cost of substitute services

8.3 Maximum Liability

Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.

8.4 Client Relationships

You are solely responsible for your relationships with your clients. We are not liable for disputes, non-payment, or any issues between you and your clients.

9. Indemnification

You agree to indemnify, defend, and hold harmless PRASTAO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or client data
  • Disputes with your clients

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

10.2 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@prastao.com to attempt to resolve the dispute informally. Most disputes can be resolved without formal proceedings.

10.3 Arbitration

If informal resolution fails, you and PRASTAO agree to resolve any disputes through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

10.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions or class-wide arbitration.

10.5 Small Claims Exception

Either party may bring claims in small claims court if the claim qualifies.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Sending you an email notification
  • Displaying a notice when you next log in

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you disagree with the changes, you must stop using the Service.

12. Termination

12.1 Your Right to Cancel

You may cancel your subscription and close your account at any time through your account settings or by contacting us.

12.2 Our Right to Terminate

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay for your subscription
  • Abuse the Service or other users

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • You may export your data for 30 days after cancellation
  • After 30 days, your data will be deleted in accordance with our Privacy Policy
  • Any outstanding fees remain due

12.4 Survival

Sections that by their nature should survive termination will survive, including: Limitation of Liability, Indemnification, and Dispute Resolution.
